TERMS AND CONDITIONS

First Management Private Limited (FM) and its affiliates are providing its Services subject to the below terms and conditions. Please also refer to our Privacy Policy on how FM collects, uses and protects personal data obtained during the registration process.

 

CHANGES/CANCELLATION OF ANY SERVICES

Recurring service refers to monthly/semi-annual/yearly service. For recurring service, the client can cancel the service anytime by providing a written notice of cancellation of service via email to support@firstlead.com.sg. FM will reply in the email (within 7 working days) to confirm and indicate the Effective Termination Date. FM shall effectively cease all works to be rendered to the Client after the Effective Termination Date. There is strictly no refund or transfer of unutilized services of any kind. The client can email in to support@firstlead.com.sg to request for a refund within the first 30 days of purchasing a new recurring service, including the reason for the refund (30 days money-back guarantee). The refund/30 days money-back guarantee is only applicable if the service has not started, and is within the first 30 days the client has first submitted the order and made payment for the new recurring service. For one-time (non-recurring) product/service, there is strictly no refund/transfer of product/service after the customer has submitted the order and made payment.

 

By subscribing to/purchasing FM recurring services, the client agrees to pay the agreed-upon amount on a recurring basis. If is monthly service, the recurring is on a monthly basis. If is semi-annual service, the recurring is on a semi-annual basis. If is yearly service, the recurring is on a yearly basis. The client subscription will renew automatically at the end of each billing cycle unless the subscription has been cancelled. By continuing to use FM services, the client consent to automatic renewals, which will be billed at the same rate unless otherwise notified.

 

FM reserves the right to reject an application/order or terminate the services upon service expiry. FM reserves the right to reject an application/order after the client has submitted the order and made payment. FM will notify the client and return any payment the client has made.

 

CONDITIONS APPLICABLE FOR ALL SERVICES

FM reserves the right to change or amend any of the service pricing, terms, privacy policy and conditions from time to time without giving any notice.

 

RESPONSIBILITY OF CLIENT

Client shall make available complete information in a timely manner to enable FM to complete the client’s task timely and accurately. Delays in providing to FM materials by the Client does not constitute reason for the Client to delay payment to FM. The Client will still be required to make payment by the date/payment terms stipulated in the order in the event FM cannot fulfil services due to the Client’s inability or tardiness to provide requested information. The client is responsible for maintaining the confidentiality of the client’s account information and for all activities that occur under the client’s account.

 

If FM is not able to process payment of fees using an Authorized Payment Method, FM may make subsequent attempts to process payment using any Authorized Payment Method. If FM is unable to successfully process payment of fees using an Authorized Payment Method within 7 days of FM’s initial attempt, FM may suspend and revoke the client’s access to the services. The client can reactivate the service upon the client payment of any outstanding fees, plus the fees applicable to the client’s next billing cycle. The client may not be able to access the services during any period of suspension.

 

For SEO service, FM will follow standard SEO practices, but FM does not guarantee specific rankings or results. The client acknowledge that SEO is an ongoing process that requires consistent effort.

 

For all website services, after the client has submitted the order and made payment, the client has to fill up all the information required on website development form and submit to FM before the service can get started. A welcome email with the information required link to access website development form, and on how the service works will be sent to the client after the client has submitted the order and made payment. It is the client’s responsibility to ensure the welcome email is received. If the client did not receive the welcome email within 24 hours after the client has submitted the order and made payment, the client must notify FM immediately via Whatsapp or email to firstleadproject@gmail.com. FM is not liable for delays or issues caused by undelivered emails. Delays by the client to notify FM the welcome email is not received does not constitute reason for the Client to delay the submission of required information to FM. The client will still have to submit all the information required via the website development form to FM within 7 days after the client has submitted the order and made payment. The website design work by FM to the client will be based on the design/template selected by the client, and colour scheme provided by the client in the website development form. The client may choose up to 3 colours for the colour scheme. The client is responsible for the accuracy and completeness of the information submitted via website development form, including the design/template choice, colour scheme, and content. FM is not liable for any delays or issues caused by incomplete or inaccurate submissions.

 

FM will make reasonable efforts to ensure the functionality and security of the website developed by FM. However, FM cannot guarantee that the website will be error-free or secure from malicious attacks. The client is responsible for maintaining the security of the client’s website, including updates to software, plugins, and content management systems (CMS). For all website services, FM will assist to upload up to 5 products (with up to 2 options per product), up to 5 product categories and sub-categories, up to 5 information pages (the up to 5 pages the client has selected from the website development form – homepage, about page, service page, FAQs page, contact page, gallery page, portfolio page, blog page, testimonial page, pricing page), up to 3 projects, up to 2 articles, up to 3 services. The product upload is only applicable for e-commerce website add-on service. FM will only assist to upload the contents once. The client will need to submit the required contents via the website development form to FM before FM can proceed with the content upload. Any additional content upload/further replacement of contents required by the client will be subjected to additional mandays and additional fees.

 

For all services provided by FM, the client may request revisions/changes to the work delivered. The number of revisions/changes included will be clearly stated in the service/product description.

If no revisions/changes are specified in the service/product description, it is understood that no revisions/changes are included. Any additional revisions/changes required by the client will be subjected to additional mandays and additional fees. Revisions may include content revision, layout revision, design revision, artwork revision, functional revision, bugs/errors, minor tweaks and usability adjustments.

 

LIMITATION OF LIABILITY

Notwithstanding anything to the contrary, FM and its business partners shall not be liable to client in contract, tort or otherwise (including negligence) for any loss of data, revenue, profits, business, contracts, services, use, anticipated savings or goodwill or loss suffered by Client as a result of the use of the services, including action brought by a third party in connection with the use of the services.

 

The total liability of FM and its business partners, for any claims under these terms, including for any implied warranties, arising from one event or a series of related events shall be limited to the amount client paid FM for the services.

 

FM does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

FM does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

FM is not responsible for any of the client tax obligations or liabilities related to the use of FM Services.

FM does not warrant that the quality of any products, services, information, or other materials purchased or obtained by the client through the Services will meet the client’s expectations, or that any errors in the Services will be corrected. Any timelines or performance expectations provided are estimates and not guarantees.

 

I / We hereby fully indemnify and hold FM and its business partners harmless from any loss, responsibility, costs or damages or liabilities from any party concerned.

 

I / We hereby confirm that we are using the above services for legitimate businesses/ correspondences only and fully indemnify and hold FM harmless from any loss, responsibility, costs or damages or liabilities from any party concerned.

 

I am / We are aware that if I/we breach any of the above-mentioned terms and conditions, FM has the right to terminate the services without notice and my / our deposits and payment will be forfeited.

 

The Terms and Conditions shall remain effective for all subsequent services renewal/repeated orders.
